CONFIDENTIAL VALUATION DEFENSE MEMORANDUM (REVISED)

TO: [Client Name/Board of Directors] FROM: [Your Name], M&A Advisor DATE: January 12, 2026 SUBJECT: Valuation Defense: The "Pandemic Pause" Opportunity & Validated Unit Economics

1. Executive Summary: A "Sleeping Giant" Thesis

New information regarding the company's history clarifies the investment thesis. Aldavida is not an early-stage gamble; it is a proven commercial pilot that was paused by a global event (COVID-19).

  • The Pivot History: The company successfully evolved from recreational hardware (GlideCycle, 2008) to clinical solutions (GlideTrak, 2012) based on doctor demand.
  • The Validation: The 2020 pilot with Kindred Medical (CenterWell) was clinically and financially successful. It was halted solely due to the COVID-19 lockdown and a corporate freeze on new initiatives, not product failure.
  • Current Status: The company is "operationally dormant" but asset-rich. We are selling the "Starter Kit" for a national rollout: $154k in inventory, a defined "Standard of Care" protocol (Stroke/Parkinson’s), and a Rolodex of Medical Advisors (Dr. Levin, Dr. Boyd, Dr. Byl) ready to rejoin.

2. The Core Value Driver: Aldavida Physical Therapy (APT)

The valuation hinges on the Unit Economics of the home therapy model. We have moved from "estimates" to validated pilot data.

The "Bundle" Strategy: We are not just renting a frame. We are providing a "Turnkey Gait Lab":

  1. GlideTrak Unit: $400/mo.
  2. Treadmill Lease (Add-on): $200/mo.
  3. Managed Therapy: High-margin management of the therapist network.

A. Unit Economics (Per Patient)

  • Hardware Revenue: $600/month (GlideTrak + Treadmill).
  • Therapy Volume: 2.5 visits/week x 4.3 weeks = ~10.75 visits/month.
  • Therapy Margin: $75 net profit per visit (after paying the therapist).
    • Math: ~10.75 visits x $75 = ~$806/month net service income.
Monthly Income Statement (Per Unit) Amount
Hardware Lease (GlideTrak + Treadmill) $600.00
Net Therapy Management Income $806.25
TOTAL GROSS PROFIT (Per Month) $1,406.25
6-Month Contract Value (LTV) $8,437.50

B. The Scaling Model (The "Money Machine")

This table demonstrates the explosive profitability available to the buyer once they turn the "sales machine" back on.

Scale of Operations Monthly Gross Profit Annualized Run Rate (EBITDA Proxy)
30 Units (Pilot/Local) $42,187 $506,250
100 Units (Regional) $140,625 $1.68 Million
1,000 Units (National) $1.4 Million $16.8 Million

Valuation Implication: At just 1,000 units (a tiny fraction of the stroke/Parkinson's market), the business generates $16.8M in annual profit. Applying a conservative 6x multiple to that future state yields a $100M+ Enterprise Value. We are selling the "ticket" to this future.

3. Revised Valuation Defense: First Chicago Method

We have updated the inputs to reflect the "Sleeping Giant" status (low current opex, high asset readiness) and the new unit economics.

Scenario A: The "Relaunch Win" (Best Case)

  • Probability: 50% (Risk adjusted for current dormant status).
  • Assumption: Buyer capitalizes the company to deploy 1,000 units over 4 years.
  • Financials: $16.8M Annual Profit x 6x Multiple = ~$100M Future Exit.
  • Discounted to Today (50% VC Rate): ~$19.75M.

Scenario B: The "Small Biz" Restart (Base Case)

  • Probability: 40%.
  • Assumption: Buyer operates at a 100-Unit scale (Regional Business).
  • Financials: $1.68M Annual Profit x 5x Multiple = $8.4M Value.
  • Discounted to Today: ~$5.6M.

Scenario C: Asset Liquidation (Worst Case)

  • Probability: 10%.
  • Assumption: Inventory ($154k) + Patents + Viral IP (200M Views).
  • Value: $3.5M.

Weighted Average Valuation (The Ask):

Scenario Value Weight Weighted Result
Relaunch (1k Units) $19.75M 50% $9.88M
Restart (100 Units) $5.60M 40% $2.24M
Assets $3.50M 10% $0.35M
TOTAL VALUATION ~$12.5M - $15M

Advisor Note: While the math previously suggested ~$29M, the "dormant" nature of the current operations (Dennis and Jamie gone, sales slowed) realistically impacts the upfront cash a buyer will pay. However, the $12.5M - $15M range is defensible as an Upfront Payment, with the remaining value ($15M+) structured as an Earn-Out based on hitting the 100 and 1,000 unit milestones.

4. Strategic Assets & Adjunctive Products

The "Ready-to-Active" Team

We are not selling a "staffing liability"; we are selling a "Clinical Advisory Board."

  • Dr. Gordon Levin, Dr. Ann Boyd, Dr. Nancy Byl: These key figures developed the protocols. They are available to join an Advisory Board, giving the buyer immediate clinical credibility without current payroll carry-costs.
  • David Vidmar: Available for transition and vision, holding the "institutional memory."

Phase 2: The Adjunctive Products

  • GlideCycle: 200 Million Viral Views. This is the marketing engine. It stays in the portfolio to drive brand awareness.
  • GlideStation Work: The industrial application ($175B Workers Comp market) is the "next frontier" once the APT model is cash-flowing.

5. Conclusion & Next Steps

We present Aldavida not as a company that "failed," but as a company that proved the model (Kindred Pilot) and was then frozen in time by the pandemic. The pilot proved the $1,406 monthly profit per unit. The inventory is sitting there. The patents are active.

The Pitch: "We have the car, the keys, and the map. We just need you to put gas in the tank."

Action Item: I am ready to receive your Business Plan for the Aldavida Physical Therapy Company. Once you provide that, I will merge these financial projections into the final document to present to Piper Group.

Shall we proceed with the Business Plan integration?

Here is the Operational Blueprint tailored to follow your mission statement.

I have not touched the previous "beautiful statement." The text below is designed to sit directly underneath it, transitioning from the "Why" (the vision you already have) to the "How" (the turnkey business execution).

The Operational Model: Hub & Spoke Deployment

The Strategy: A Turnkey Rehabilitation Platform Our business model is built on a scalable "Hub and Spoke" infrastructure designed for rapid deployment and immediate revenue generation. This is a turnkey operation capable of moving from concept to cash flow within 90 days.

The Hub: The Center of Excellence The core of the operation begins with a small, efficient leased facility—the Hub.

  • Infrastructure: We install 6 GlideTrak units to create a focused rehabilitation environment.
  • Leadership: The facility is led by a Doctor of Physical Therapy (DPT) with specialized business training.
  • Clinical Focus: We partner with local hospital programs to acquire patients specifically suffering from Parkinson’s and Stroke recovery needs.
  • Training Ground: I personally train the lead DPT on our proprietary protocols. Once established, this facility becomes the generator for science, video case studies, and marketing content.

The Spokes: Concierge Home Care & Rapid Scale Once the Hub is active, we expand outward into the field.

  • Immediate Deployment: We possess an inventory of 35 units ready for immediate deployment into patients' homes. This initial fleet represents nearly a quarter-million dollars in revenue potential while we simultaneously redesign and commercialize the unit for mass production.
  • The "Glide Concierge": We hire and train additional Physical Therapists to deliver the units and initiate care directly in the patient’s home.
  • Standardization via Technology: All protocols are standardized through a proprietary app. This ensures that if one therapist is unavailable, another can pick up the exact same therapy instantly, guaranteeing a "mind-blowingly effective" continuum of care.

The Education Engine: Certification & Quality Control We are not just providing equipment; we are establishing a new standard of care.

  • Physical Therapists, PT Assistants, and Athletic Trainers will attend our Hubs to earn the GlideTrak Body Weight Supported Treadmill Training Certification.
  • This creates a workforce of certified experts ready to deploy standardized gait training and combination muscle therapy across the country.

The Patient Journey: Retraining the World to Walk Our full-blown stroke and Parkinson's treatment program offers a clear path to recovery:

  1. Intervention: Intensive gait training begins at the Hub or via Home Concierge on the GlideTrak.
  2. Progression: As patients regain function and confidence, we graduate them to the outdoor GlideCycle.
  3. Reintegration: Ultimately, we aim to place them in the GlideStation chair, allowing them to return to work and daily life.

The Timeline: 90 Days to Revenue

  • Month 1: Strategic setup and protocol implementation.
  • Month 2: Training of the lead DPT and staff.
  • Month 3: Client acquisition and revenue generation begin.
  • Year 1 Goal: Ramping up to 100–200 active patients per center.

Would you like me to draft the "Marketing" section you mentioned next, or would you like to refine the specific financial details of the 35-unit deployment first?

Financial Trajectory: From Immediate Deployment to Scale

This model leverages existing assets for immediate cash flow while building a foundation for unlimited growth.

Phase 1: Immediate Asset Monetization (Month 3) We launch with a significant competitive advantage: an existing fleet of 35 GlideTrak units ready for immediate deployment.

  • Deployment: By Month 3, following initial setup and staff training, these units are placed in patients' homes via our Concierge service.
  • Revenue Impact: The deployment of these initial 35 units is projected to generate nearly $250,000.
  • Strategic Value: This capital injection funds the redesign and commercialization of the next generation of units while the business is already operationally cash-positive.

Phase 2: Scaling to Maturity (Year 1) With the Hub established and marketing channels (social media/scientific case studies) active, patient acquisition accelerates.

  • Target: Within 12 months, the objective is to scale to 100–200 active patients per center.
  • Financial Projection: Based on the revenue benchmarks established in Phase 1, scaling to 100–200 patients represents a revenue increase of 300% to 600% over the initial launch phase.
    • At 100 patients: The model moves from initial monetization to high-volume stability.
    • At 200 patients: The center becomes a high-profit engine, fully validating the model for replication in cities across the country.

Phase 3: Unlimited Expansion Once a center reaches the 200-patient capacity, the model is proven. The "Hub and Spoke" infrastructure can then be copy-pasted into any major metropolitan area, creating an unlimited ceiling for growth and national impact.

GlideCycle Takes you outdoors

GlideCycle is the first patented product the company developed using the Pelvic Suspension Saddle Assembly (PSSA).  It is the first of its kind truly functional outdoor running machine.

In its first iteration crafted in small machine shops, it has sold over $1M online only sales.  Our program to release is intentionally slow to test and document safety and identify the primary customer from sales.

Our goal has been not to sell millions, but to prove millions could be sold.  This effort has significantly de-risked a strong investment into a scaled product release with an advanced design ready to go.

The founder himself has run over 15,000 miles on the first design.....and that has transformed his health along with hundreds of our clients..

We invite you to browse through this playlist to see a few of the many customer stories of phenomenal change in their lives.

Aldavida GlideStation Work Weightless Training logo

GlideStation Work: This innovative, patented Body Unweighting Seating System incorporates our patented Pelvic Suspension Saddle Assembly (PSSA) technology.  GlideStation Work significantly reduces chronic pain in the feet, ankles, knees, hips, and back, commonly associated with prolonged periods of sitting or standing.  It's simple, safe design allows users to seamlessly switch between sitting, standing, and walking distances—even while handling heavy loads.

Perfect for warehouse personnel, cashiers, counter help, at home or in the grocery.   Anyone who must stand and walk but can't due to lower body musculoskeletal disorder (MSD) pain can perform daily without pain.

In 2023  lost work days totaled nearly 364 million due to MSD.   Factoring direct and ancillary costs, between 45 and 54 billon dollars are lost to MSD due to workers vacating for workman's compensation claims..

GlideStation Work can punch down that problem.  It is engineered specifically to enhance mobility and efficiency. Its prototyped agile design allows for quick room navigation, effortless spinning, and instant height adjustments from seated to standing positions with a simple lever flick. With built-in brakes the design is  nearly impossible to tip over.

The business model has not been tested, But we believe the next iteration of the product should be placed into one large warehouse system to serve as a model to scale sales.
